WH Ireland bailout fund raise at just 3p to keep the Fat Lady at bay

I should not be shocked that WH Ireland (WHI) is up shit creek having to refinance at 3p, 19p below yesterday’s share price. Throughout my three decades in finance, every few years, whoever has been running the show WH Ireland has almost gone bust. Today is not the first time that the broker, Nomad and wealth manager has been at death’s door. WH Ireland should not be listed.

BREAKING: Explosive Winnileaks email on Vast Resources - WH Ireland refuses to act for the firm and slates Prelea, Fatty Cornish doesn't care

In March this year WH Ireland was approached to become joint broker to Vast Resources (VAST). It conducted due diligence and that threw up so many red flags about the business but also about boss Andrew Prelea that WH Ireland said that  it could not act.  The email exchange detailing this has found its way via Winnileaks to myself and is published below. It is damning and all credit to WH Ireland for putting principle before profit. But Nomad Roland Fatty Cornish has been made aware of the same issues and appears to think that a) it is just after two so time for the third course of a six course luncheon and b) that he should just carry on taking the cash come what may.  Lunches don’t pay for themselves after all. Enablers like Fatty are why AIM is a sewer. I am aware of a number of matters which WH Ireland discovered and anyone owning shares in Vast is truly certifiable.

Orcadian Energy at 32p worth 115p

Since WH Ireland listed this company on AIM a month or so ago it is biased. And since I own a few shares and the CEO Steve Brown is a good chap from God’s chosen lands of Ulster, I too am biased. But if you want to read the note and WH Ireland’s logic it is below.

Letter to AIM Regulation – Verditek: there must be a formal enquiry into the pre-placing deceit

Yesterday Verditek (VDTK) finally ‘fessed that its 2020 revenues would be almost nothing. That is despite it announcing on June 30 that its Italian operation was now “in production and is generating revenue” and the announcement of no less than EIGHT separate orders from 30 June onwards. All of those “orders” were announced before a bailout placing on October 6. And it is not as if this company, chaired by Tory Toff Lord Willetts, has not got extensive form in announcing big orders before placings which then turn out to be bogus. The Oxymorons at AIM Regulation could have stopped this if they had heeded my calls in letter to them about a full enquiry into past pre placing deceits going back right to the IPO but they did nothing. There now needs to be a full enquiry into the company and into Nomad WH Ireland with public censures resulting. My letter is below:

Tom Winnifrith Bearcast - passing a 100% meaningless 25m landmark

I discuss a metric which for a private company, like ShareProphets, is meaningless. We do not seek to impress investors just to pay bills! I have a few words on life at the Welsh Hovel. Yes, Jayarani is eating into my sleep. Then it is onto Telit (TCM) and finally a discussion with Pierotlunaire on research notes and blackout period prompted by the WH Ireland & Pantheon (PANR) episode.

WH Ireland screws private investors in Pantheon Resources

Pantheon Resources (PANR) today completed a massive $30.2 million placing and Primary Bid offer at 31p. The shares were 33.7p bid  (off 4.5%) yesterday but on the 13th they were 40p with some mug punters paying well North of that. On 11th November with the shares at 31p broker WH Ireland published a lengthy research note.

Letter to AIM Regulation: Powerhouse Energy must clarify investor deception & face formal censure

Over the weekend, I revealed the second reason why the RNS issued by cash-guzzling AIM Casino promote Powerhouse Energy (PHE) was grossly misleading. Letter to FCA & AIM Regulation: Verditek just how many lies told?

Enough is enough. Two weeks ago, an article HERE forced Verditek (VDTK) to admit on August 12 2020 that the two big contract wins announced in 2019 had not gone through but it had raised money without telling investors of these massive setbacks. On Friday, I showed that it had actively misled investors ahead of placings in September 2019 and March 2020. Enough is enough. How many more lies have been told? I have written to the FCA & AIM Regulation asking for the shares to be suspended pending a full investigation into the company, its directors, and Nomad WH Ireland which, at best, has been asleep at the wheel.

Morally bankrupt Nomad SP Angel signs up with Eurasia but shares still suspended: why?

I have noted many times before that SP Angel is so utterly desperate for clients to fund the coke and hookers bills that it will act for any corporate even a brazen fraud like MySquar (MYSQ). It is morally bankrupt and, without doubt, London’s worst Nomad. As such with WH Ireland having quit as Nomad to Eurasia Mining (EUA) over the lying and other matters there was only one Nomad to go to, only one that would act for a company like this.

Tom Winnifrith Bearcast: chatting with Nigel Wray and tweeting back to the Banning Buffoon

The Dark Destroyer, aka Matt Earl, has branded Andrew Monk, the Banning Buffoon for his call to ban shorting in a fiery twitter exchange. I discuss why Matt is right on all counts. I chatted to Nigel Wray, Britain’s Buffett, at length today about the markets, individual shares, the coronavirus, the shape of the recession, consumer attitudes and most interestingly about commercial property, which he knows a bit about. I also discuss Sosandar (SOS), Finncrap (FCAP), Arden (ARDN), WH Ireland (WHI) and other Nomad/brokers and when the FCA will have to step in to check their solvency. Finally a few words on the Government’s daft £330 billion loan scheme.

I look at Mirriad (MIRI) which needs to fess up as to how much cash has not yet been spunked, Rose Petroleum (ROSE) and insolvent Cabot (CAB) and the panic sells created by the demise of City Financial Investments, the bid for Independent Oil & Gas (IOG) and at Debenhams (DEB) where the worst is yet to come. Tom Winnifrith Bonus Bearcast: WH Ireland is a shit-show (as predicted) but this is an industry in crisis

In this bonus bearcast I comment on today's lack of profits warning from WH Ireland (WHI) and the bailout placing now underway which I had predicted. I look at WH Ireland and its woes but it is symptomatic of an industry in crisis. FinnCrap (FCAP) must warn sooner or later and most of the rest of the Nomad/brokers already have. What is needed is massive wage cuts across the board. Thankfully for supliers of coke and hookers, that will not happen which means a structural and cyclical crisis will claim more casualties soon. Is this the spivviest tweet ever - why is UK Oil & Gas Nomad WH Ireland not forcing a statement?

Over the weekend the extraordinary tweet below was sent by UK Oil & Gas (UKOG). Was it approved by its poltroon of a Nomad James Joyce of WH Ireland? Methinks not. In light of its content a responsible Nomad would be resigning or at the least forcing a statement. But not this one.

"I am tomorrow, or some future day, what I establish today. I am today what I established yesterday or some previous day." So said the great Irish author James Joyce. Photo article: brave Jim Bagot to take fight back to pensioner muggers WH Ireland

Good news. The pensioner Jim Bagot who was mugged by stockbrokers WH Ireland (WHI) is planning another protest outside its London offices this week. You will remember that the broker punted and lost hundreds of thousands of pounds of Jim's cash on penny stocks, many of them corporate clients, which was clearly not in the interests of such an old man. UK Oil & Gas, the untrue RNS and a Nomad with no balls & not fit for purpose: WH Ireland

Every AIM company must have a Nominated Adviser, a NOMAD, to retain its listing. A Nomad is an FCA regulated financial adviser which charges an arm and a leg as a retainer to ensure that every RNS issued is 1005 accurate and that the company also complies with all the other AIM Rules. Not, as the LSE has made clear, that there is any downside in breaking all the rules or telling outright lies. That brings us to UK Oil & Gas (UKOG).

Tom Winnifrith Bearcast: More ouzo, vindicated on RapidCloud's descent to zero as well

In the main bearcast today I touch on the Cloudtag (CTAG) fraud but that is really covered in its own bearcast HERE. Was it PR wankers Walbrook or Nomad WH Ireland or savants on the LSE Asylum? Er no, it was me HERE.  I then look at Challenger (CHAL) a zero in waiting, Iofina (IOF) and IGAS (IGAS) both of which should also be zeros. I commend today's excellent piece from Nigel, the Deputy Sheriff of AIM,  on the Servision (SEV) scandal HERE. I take Nomad Allenby to task for failing to comment on this and for allowing Servision to mislead mug punters. Could the Bagot scandal bring down WH Ireland?

First it was the Daily Mail and now it is the Daily Telegraph that has taken up the cudgels on behalf of Essex pensioners Mr and Mrs Bagot who were completely robbed by AIM listed broker WH Ireland (WHI). This scandal is growing and could bring WH Ireland to its knees as I have already flagged up HERE. The Telegraph today gives us full details of the scale of the mugging. It is awful.

Between 2006 and 2012 WH Ireland discretionary fund manager James Molyneux invested £985,138 for the pensioners. Given their age this should have gone into safe blue chips. Instead it was spunked away on 45 different stocks mostly on AIM, ISDX or not even listed. By 2012 that portfolio was worth just £421,980 – 14 of the 45 companies had gone bust.

Yesterday we outed Mr John Molyneux as the WH Ireland stockbroker who had mugged 75 year old pensioners by sticking the cash from discretionary accounts into penny stocks – usually WH Ireland corporate clients doing a fund raise – which had nearly all cratered.  I can reveal that Mr Molyneux has now decided all of a sudden that at 68 it is a good time to retire. With immediate effect. But if he and AIM listed WH Ireland (WHI) think this scandal is over they are mistaken. It is just beginning.

Because, while one 78 year old couple has taken their mugging up with the Financial Ombudsman and got back just under half of their losses (£150,000) we are fully aware that this was not an isolated case.

EXCLUSIVE: WH Ireland – Not only ripping off pensioners but a swarm of other scandals emerge

On Sunday I discussed how AIM listed stockbroker WH Ireland (WHI) ripped off a 78 year old pensioner for more than £500,000 but has only compensated him for £150,000. A WH Ireland spinmeister says that the actual loss for the poor defrauded pensioners was only £329,750. But the PR operative was less forthcoming when questioned about a swarm of other scandals.

First we deal with the fellow at WH Ireland who managed the discretionary account for these poor vulnerable old folk, shafting them by sticking nearly all their cash into AIM, Plus and unlisted penny stocks most of which cratered and most of which were WH Ireland corporate clients.  I put it to WH Ireland that the pensioners who took action were just the tip of the iceberg – the chap responsible, Mr John Molyneux, has abused a number of other discretionary clients in exactly the same manner.

WH Ireland – How big is its mis-selling scandal? Only a lunatic would trust this firm with his cash

The Mail on Sunday carries a horrific story about a 78 year old man who has seen his life savings disappear thanks to WH Ireland (WHI) the AIM listed stockbroker. Reading this I conclude that only a total lunatic would entrust WH Ireland with his or her cash. With the stockmarket now clearly in bear territory WH Ireland would be unlikely to prosper even without this scandal and at 125p the shares are a stonking sell – second only in this sector to those of the POS Daniel Stewart (DAN).

Auhua - what a bunch of cocksuckers - crony capitalists foiled by The Sheriff of AIM

Earlier today I revealed in yet another scoop that POS China AIM listed company Auhua (ACE) was planning a placing at just 4p when its shares were trading at 13-15p. The discount told you everything. Broker WH Ireland knows this is just a shite investment and the only folks who will support it are flippers. And now Auhua has fessed up - the Sheriff was right. Yet again. Auhua states:

Daniel Stewart & Paul Shackleton: An Open letter to the FCA & AIM Regulation demanding a Naibu Investigation

ZAI Corporate Finance & Big Ray Zimmerman are squarely in the frame regarding the fraud Naibu (NBU) but in my view it is former advisor Daniel Stewart and its then lead Qualifying Executive (QE) Mr Paul Shackleton who are most culpable and I have today written to the FCA and AIM Regulation asking that both be investigated and punished most severely for their role in allowing the continuation of a fraud that has cost investors millions of pounds.

Shackleton (now at WH Ireland) and Daniel Stewart were meant to report to the AIM Regulation team and the FCA any concerns they had about Naibu up until ZAI took over as Nomad on December 12 2014. During the first eleven months of 2014 I showed that Naibu CEO Houyan Lin (now in prison) had an undeclared criminal past and numerous times accused this company of fraud.

Rangers – King whacks Ashley but Big Questions Remain & Heads Must Roll

I am delighted to see that 85% of shareholders in rangers FC (RFC) voted at the EGM to boot out the Ashley patsies and vote on the Dave King slate as directors. But there remain a series of questions about the club’s future on AIM and also about the behaviour of disgraced advisers WH Ireland and Newgate Communications.

King himself has not taken a seat on the board but instead Douglas Park has joined along with the other new boys Paul Murray and John Gilligan. The old board indicated that AIM might have issues with King given his colourful past and I guess he has side stepped that and so there is now np reason AIM can object to Rangers staying on the Casino.

All that it needs to do is to find a Nominated Advisor (Nomad) to replace WH Ireland – the employer of disgraced China fraud specialist Paul Shackleton – which quit two days before the EGM. That should not be an issue.

Most Nomads will represent anyone for a fee. After all Paul Shackleton was happy to represent Naibu (NBU) even though its CEO was languishing in gaol although he did not feel the need to inform investors. Shackleton was well aware that the Naibu CEO had a criminal record but again was happy to take Naibu’s money.  Quite why Mr Shackleton regards Dave King as worse than Houyan Lin of Naibu escapes me but then perhaps the fact that Naibu had paid his employer £750,000 in two years swayed his opinion. But I guess Shackleton would not be of interest to Rangers.

Rangers Football Club pisses on its shareholders and fans with EGM notice

Rangers (RFC) has announced plans to hold an EGM to vote on a wholesale change of board. The plans are a disgrace, for the EGM is to be held in London at a venue that can hold only 500. Most Rangers shareholders live in Glasgow. This appears a deliberate attempt by Rangers and its shamed financial adviser Mr Paul Shackleton of WH Ireland to disenfranchise fans.

At the last GM held in Glasgow 2000 attended. The intent n booking a London venue that can hold only 500 is clear. The gibbering fool Shackleton was recorded on the phone trying to explain this decision to a fan and came over as a totally clueless poltroon

Rangers FC: Paul Shackleton – You’d never represent a crook would you, er hang on?

I shall turn to the matter of the forthcoming Rangers FC (RFC) EGM later but the high-handed statement signed off by its adviser Mr Paul Shackleton of WH Ireland yesterday should be viewed in light of a shock revelation I serve up today about his own actions (or inactions) regarding AIM listed China fraud Naibu (NBU).

In the Rangers statement Shackleton throws mud at rebel shareholder Dave King, suggesting that his criminal record might make him unsuitable to be director of an AIM casino stock.  There is no doubt that in his efforts to evade tax in South Africa, Mr King broke the law and was no angel. So Shackleton would not act for a fellow with a dodgy past (or present)? Really?

I spent a lot of time in 2014 accusing AIM casino listed Naibu of being a fraud.

Did Rangers break AIM Rules again – the tale of the disappearing press release.

Companies on AIM are meant to post price sensitive information via the Stock Exchange and under Rule 22 they also have a duty to ensure that it is accurate. But Rangers FC (RFC) is advised by China fraud specialist Mr Paul Shackleton of WH Ireland and so yesterday it posted such (mis) information on its own website only. It then withdrew even that release but luckily I have a screen grab for you below.

Rangers: Dave King reckons the Ashley Minions will soon be out & then the forensic investigations can start

Rangers FC (RFC) has still not shown a shred of evidence to demonstrate that in accepting loan proposals from Mike Ashley and rejecting other refinancings it acted in the best interests of ALL shareholders. The Ashley minions who run the Rangers board are clearly loathed by the vast majority of Rangers supporters (rightly so in view of the refusal to provide evidence) and businessman Dave King has stated today that their days are numbered.

King is a colourful character having had a spit of bother with the South African tax authorities and having lost £20 million when Rangers last went bust. But he is a die-hard blue nose, unlike Ashley, and he reckons that he has the support of the 51% of shareholders needed to oust the board. And today he reckoned that the board would agree to hold an EGM this Friday, for later this month.

Interestingly King also said today that current Nomad, WH Ireland and its China fraud specialist Mr Paul Shackleton, was not “fit and proper”.  Since we have seen absolutely no evidence

Tom Winnifrith Bearcast 17 January - Pressfit, Paul Shackleton, WH Ireland, Daniel Stewart, an AIM casino scandal special

Pressfit (PFIT) listed on the AIM Casino on August 1 2014. Its first profits warning came within three months. It was booted off the AIM Cesspit yesterday. It is Chinese. I name those responsible for this scandal - firms and individuals - and suggest that all concerned need steep fines and an immediate termination of their City careers and explain why.

Angus Forrest & Bruce Leith of Tern and that Joke of a CVA Document – a lot more

Earlier today one of the deputy Sheriffs of AIM, Comrade Somerville, flagged up massive issues with the CVA agreed by Digital Learning Marketplace (DLM), now Alpha Returns (ARGP) under the watch of Angus Forrest and Bruce Leith, the two men now running Tern PLC (TERN), into the ground. But Deputy Somerville misses out a couple of points which just add to the scandal which, in a just world, would mean Forrest & Leith swinging on a corporate noose this week.

To read Nigel’s article which shows corporate malfeasance in going ahead with the CVA at all but also how the document just does not add up click HERE

Some might say that CVAs are complex and that Forrest & Leith could be forgiven the odd error (albeit some pretty massive ones). But that would be to ignore their track record.

Tern: More Questions for Forrest (who must quit now) but also for WH Ireland

I have now twice demanded that Tern PLC (TERN) sack Angus Forrest and Bruce Leith because of statements made when they ran Digital Learning Marketplace (DLM) - now Alpha Returns (ARGP) in 2012. But it gets far worse…

To read my first demand for the heads of Forrest and Leith click HERE

To read my second demand for the heads of Forrest and Leith click HERE

The issues are that the two men were responsible for RNS statements that were quite frankly lies. The first (August) concerned an unconditional contract that was in fact a conditional contract. That act of misleading allowed a placing to be undertaken. The second was a September AGM statement which was upbeat. But at the same time the CVA of DLM’s main operating unit was already underway, the contracts had gone and DLM itself was heading towards a CVA.

This morning I have been told by a reliable source

Exclusive: Tern is trying to issue shares to keep going – Nomad and Non Exec must FIRE Forrest and Leith NOW

I outlined on Friday why Tern PLC (TERN) must fire its chairman Angus Forrest and his gopher sidekick Bruce Leith NOW. Quite simply they have been shown to have committed corporate malfeasance and to have lied to investors at the last POS company they were in charge of – what was then Digital Learning Marketplace (DLM) and is now Alpha Returns (ARGP).  I have written – as you can see HERE - to the Nomad (John Wakefield at WH Ireland) and Non Exec, Laurence Read ( a totally honourable man) demanding that they fire the two crony capitalists at once. But it gets worse.

Tern PLC: Angus Forrest & Bruce Leith must go NOW – An Open Letter to Non Exec & Advisor

Nigel Somerville has earlier today (HERE) published the most extraordinary evidence of corporate malfeasance at what was Digital Learning and is now Alpha Returns (ARGP). The two directors exposed by Nigel now run Tern PLC (TERN), another sub scale investment company on the AIM Cesspit. I demand that they be fired NOW!

The FCA and other watchdogs are fully aware of the evidence that Nigel has gathered and investigations are underway. The Non Exec at Tern Laurence Read is an honourable guy and he could choose to wait for the official regulators to act. However the evidence is now out there in the public domain. The Sheriff of AIM has a noose at hand and suggests that Read and Nomad John Wakefield of WH Ireland use it. Forrest and Leith must go NOW!

In that vein I have just written to John and Laurence as follows.

Dear Laurence & John.

AIM Cesspit: Pittards – the shocking news it did not tell you before Christmas

One gets into a spot of bother with your bank accounts getting frozen in a country where you do a lot of business. But heck, you are on the AIM Cesspit, the accounts are in bongo bongo land so no-one will get to hear about this affair and you know that you will be able to sort the darkies out sooner or later so why should Pittards (PTD) have bothered to fess up to investors. Who gives a FF about AIM Rule 11 anyway?

It is not as if sleepy Nomad (step forward John Wakefield at WH Ireland) gave a damn – he told Pittards that there was no need to bother shareholders with news of this rumble in the jungle. But fear not, since I am an avid follower of the must read publication International Leather Maker I will help Pittards shareholders out by publishing for them the RNS statements they could not be arsed to publish themselves.

International Leather Maker really is a bodice ripper. The most read article of the past seven days is:  ECO2L -Climate protection and Leather which relays the “First experiences with the environmental certificate: Energy Controlled Leather (ECO2L) by Dr Thomas Schröer, Verband der Deutschen Lederindustrie (VDL) Dipl. Ing (FH), Jutta Knödler, I-T-G GmbH.” Sod the next series of Nashville, Kylie on The Voice or the Bridge Series 2 this is real entertainment. It has it all.

I digress. My fave new website

Victory on the Cesspit: Bison The Dust - is this Dead Kennedy Ventures?

Allow me to have a gloat. It is champagne round ar Real Man Pizza tonight as the Cesspit IPO of joke company Bison is pulled. In turn this whacks a string of pointless AIM Cesspit listed investment companies for six.  Happy days.

The great overhyped joke IPO of 2013 on the AIM Cesspit, that of shale ( whoarrr feel the sex forget about the numbers) energy play Bison Energy has er…flopped. It has bison the dust. Those who read my analysis of this great enterprise which was set up last year but suddenly was worth almost a billion dollars according to its broker WH Ireland may not have been surprised.

Verdes Management - The Questions for WH Ireland

Last weekend I exposed how Verdes Management (VMP) a company listed on the AIM Cesspit market had misled investors in a series of RNS announcements as it struggled to say afloat in recent months.

Verdes is a tin pot company rapidly running out of cash. The big questions are for WH Ireland, its nominated adviser (Nomad) and broker. The questions go the heart of who misled investors and the failure of the regulatory system on the Cesspit AIM market.

You can read my original expose here

On AIM the Nomad must sign off on any statement. A Nomad must therefore satisfy itself that the statement is true. If a company issues misleading statements ultimately it is the Nomad that should carry the can, although on the Cesspit this never seems to happen. The broker raises money for a client and takes a commission of (usually) 5% for doing so. Both Nomad and broker are paid a retainer by clients such as Verdes.
